1. Parties and scope
These terms govern use of the foreign-trade intermediation and marketing service operated by DisTicaret Dış Ticaret A.Ş. (TASLAK - kayitli degil) ("DisTicaret", the "Platform"). Buyers, suppliers and visitors ("User") using the Platform are deemed to accept them.
2. Nature of the service
DisTicaret provides an intermediation and marketing service. The Platform:
- markets suppliers' products for the account of the supplier, not its own;
- collects, qualifies and forwards buyer requests;
- carries the correspondence between the parties until terms are agreed;
- introduces the parties directly once a deal is agreed.
The Platform is not a party to the sales contract. The sale of goods, payment, shipment, customs clearance and liability for defects lie exclusively between buyer and supplier.
3. Source of content
Product descriptions, specifications, certification claims, capacity and price information are declared by the supplier. The Platform does not warrant their accuracy, currency or completeness. A "verified" marker means only that the Platform has sighted the supplier's commercial registration documents; it is not a representation as to product quality, production capacity or ability to perform.
4. User obligations
The User warrants that the information it provides is accurate, that it will comply with export/import legislation and applicable sanctions and embargo rules, and that it will not infringe third-party intellectual property rights. Supplier and buyer information obtained through the Platform is confidential and may not be used for competitive purposes.
5. Non-circumvention
Where parties are introduced through the Platform, if within twenty-four (24) months of the introduction they transact for the same or a similar order directly or through affiliates so as to bypass the Platform, the Platform's fee becomes immediately due.
6. Limitation of liability
The Platform's liability is in all cases limited to the intermediation fee it earned on the transaction concerned. The Platform is not liable for indirect loss such as loss of profit, production stoppage or reputational damage. This limitation does not cover liability arising from the Platform's wilful misconduct or gross negligence.
7. Governing law
These terms are governed by Turkish law. The Courts and Execution Offices of Istanbul (Çağlayan) have jurisdiction.
